This agreement supplements the Terms of Service for paid subscribers. Any conflict between this agreement and the Terms is resolved in favour of this agreement only with respect to billing and subscription mechanics.
1. Subscription tiers and pricing
Pricing displayed at checkout is authoritative. Posted prices are exclusive of tax unless stated otherwise. Lab Pro is billed monthly by default; annual billing is available at a discount. Institution pricing is negotiated and documented in a separate order form.
2. Payment processor
Subscriptions are processed through Lemon Squeezy (or its successor processor named in the checkout page). You authorise the processor to charge your selected method on each renewal date. We never directly receive or store card numbers.
3. Renewal
Subscriptions auto-renew at the end of each billing period at the then-current price for your tier. The renewal email is sent at least seven days before the charge. Cancelling before the renewal date prevents the charge; cancelling after the renewal date does not retroactively reverse it.
4. Cancellation
You may cancel at any time via the customer portal at /account/billing/. Cancellation stops future renewals; current-period access remains active until period end. Your account converts to Free at period end and your historical analyses, exports, and quota records are preserved.
5. Refunds
We offer a fourteen-day refund window from the initial subscription date if the Service does not work as advertised in your environment. Refunds for renewal periods are not offered as a default. Exceptional refunds for verified service disruptions are at our discretion.

6. Failed payment
If automatic renewal fails (insufficient funds, expired card), we attempt a retry on day 1 and day 5 after failure. If both retries fail, the subscription enters past_due status with a 14-day grace period during which paid features remain available. After the grace period, the account downgrades to Free.
7. Plan changes
You may upgrade at any time; the upgrade pro-rates the remaining period at the new tier. Downgrades take effect at the next renewal — you keep paid-tier access until period end.
8. Suspension for abuse
We may suspend a paid subscription without refund where the account materially breaches the Terms of Service (clause 4) — most commonly, evidence of reverse-engineering, fingerprint stripping, or unauthorised redistribution. We will provide notice and a chance to respond unless the abuse is severe or ongoing.
9. Institution tier specifics
9.1 Institution accounts are billed annually under a separate order form which controls in case of conflict.
9.2 An Institution account may issue up to five API keys at any time. Issuance, rotation, and revocation are performed through the customer portal.
9.3 Institution subscribers may use the REST API endpoint at /api/v1/tools/dotblot/engine with bearer-token authentication for local applications (Tauri, LIMS, batch pipelines). The fair-use limit is 500 downloads / engine fetches per day per organisation, aggregated across all keys; sustained usage above this is renegotiated.
10. Taxes
Where applicable, taxes (including but not limited to Taiwanese VAT, EU VAT, and sales tax) are charged in addition to the subscription fee and itemised on the invoice. You are responsible for ensuring you can recover any tax under your jurisdiction's input-tax rules.
11. Term
This agreement takes effect when you complete checkout and remains in effect for as long as you maintain an active subscription. Sections 5 (refunds), 8 (abuse), and 11 (this clause) survive termination.
